By accessing and using the Lydia Exchange platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you and Lydia Financial LLC ("Company", "we", "us", or "our").

If you do not agree to abide by the above, please do not use this service. Your continued use of the Service following the posting of changes to these terms will be deemed your acceptance of those changes.

2. Description of Service

Lydia Exchange is a decentralized trading platform built on the Solana blockchain that enables users to trade tokenized commodities including but not limited to gold, silver, crude oil, natural gas, and agricultural products.

Our platform utilizes smart contracts and blockchain technology to facilitate peer-to-peer trading of commodity-backed digital assets. All transactions are settled on the Solana blockchain network.

3. Eligibility and Account Registration

To use our Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our services under applicable law
  • Connect a compatible Solana wallet (such as Phantom, Solflare, etc.)
  • Comply with all applicable laws and regulations

You are responsible for maintaining the security of your wallet and private keys. We do not have access to or control over your private keys or funds.

4. Trading and Investment Risks

Trading in commodities and digital assets involves substantial risk and may not be suitable for all investors. You acknowledge and understand that:

  • Commodity prices are highly volatile and can result in significant losses
  • Past performance does not guarantee future results
  • You may lose some or all of your investment
  • Blockchain transactions are irreversible
  • Network fees and slippage may affect your transactions
  • Technical issues or smart contract bugs may impact platform functionality

You should carefully consider your financial situation and consult with financial advisors before trading.

5. Prohibited Activities

You agree not to:

  • Use the Service for any illegal purposes or in violation of any laws
  • Engage in market manipulation, fraud, or deceptive practices
  • Attempt to hack, breach, or circumvent security measures
  • Use automated trading systems without prior authorization
  • Create multiple accounts to circumvent platform limitations
  • Engage in money laundering or terrorism financing
  • Violate any intellectual property rights

6. Fees and Payments

Our platform may charge fees for trading services, which will be clearly disclosed before you complete any transaction. Additional fees may include:

  • Trading fees (typically 0.1% - 0.5% per transaction)
  • Solana network fees (gas fees)
  • Withdrawal or transfer fees

All fees are subject to change with reasonable notice. Fee changes will be posted on our platform and website.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYDIA FINANCIAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount of fees you have paid to us in the 12 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Lydia Financial LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your use of the Service or violation of these Terms.

9. Termination

We reserve the right to terminate or suspend your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.

Upon termination, your right to use the Service will cease immediately, but your obligations under these Terms will survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
